Author/Publisher Business Setup Notes (Australia)

Mindful Machines Press · ~3 min read · Published Sep 9, 2026

Sole trader vs. company decision for Mindful Machines Press, and the US tax paperwork every title needs regardless of structure. Australia-specific; revisit numbers periodically since ASIC fees and treaty terms can change.

Sole trader vs. company — the decision framework

Default recommendation for a first title / early-stage press: sole trader. Revisit only once specific triggers below are met.

Sole trader (starting point)

  • Setup: ABN application via the Australian Business Register — free if you already have a TFN.
  • Business name registration (e.g. “Mindful Machines Press” as a trading name) via ASIC: $47 for 1 year, or $108 for 3 years.
  • No separate company tax return — royalty/book income flows into the personal return as business income.
  • No annual ASIC review fee, no requirement for formal financial statements.
  • Full personal liability, but low real-world risk for a nonfiction publishing venture with no contracts/employees/other-author obligations.

Company (Pty Ltd) — only once these apply

  • Trigger conditions: entering contracts, taking on other authors, or profit consistently clearing roughly $100–120k/year (company tax benefit threshold — flat 25% base-rate-entity company tax vs. individual marginal rates up to 45% + Medicare levy).
  • Costs (from 1 July 2026): $636 ASIC registration + $342/year ASIC annual review fee + typically $1,500–3,000/year in additional accounting fees.
  • Also requires its own EIN for US tax purposes (see below) — one more moving part than sole-trader status.

Re-evaluate this decision if: the press starts publishing multiple authors under contract, income from multiple ventures combined pushes into the higher company-tax-benefit bracket, or liability exposure changes materially (e.g., a title with real defamation/legal risk, which nonfiction history/AI commentary generally is not).

US tax withholding — applies on every title, either structure

Both Amazon KDP and IngramSpark are US platforms and withhold US tax on royalties paid to a non-US publisher by default.

  • Default withholding: 30% of royalties, unless a treaty claim is filed.
  • Australia–US tax treaty rate: 5% on royalties — claimed via the platform’s own W-8BEN tax interview (completed once per platform account, not per title).
  • As a sole trader/individual: enter your Australian Tax File Number (TFN) as the “Foreign Tax ID” on the W-8BEN. No US ITIN or EIN required for this.
  • If the press later incorporates: the entity files a W-8BEN-E instead, which requires the company to first obtain its own US EIN — factor this into the timing if a Pty Ltd conversion is ever planned, since EIN applications take some lead time.

Practical sequencing for a new title under the sole-trader structure

  1. Confirm ABN is active and the press’s trading name is a registered business name (one-time setup, not per-title).
  2. Complete/confirm the W-8BEN on both KDP and IngramSpark accounts (also one-time, unless account details change).
  3. Proceed with title setup (ISBN assignment, metadata, files) — see the IngramSpark Title Setup guide.

Sources / recheck cadence

ASIC fees and thresholds shift roughly annually (they’re indexed and reviewed each 1 July) — recheck the current sole-trader vs. company cost comparison before a structure decision, rather than relying on the numbers captured here beyond a year or so out.
